Terms of Service

1. Agreement to Terms

By accessing or using FixyFlow ("Service"), operated by FixyFlow ("we", "us", "our") at fixyflow.com, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

FixyFlow is a software-as-a-service platform for repair and service businesses. The Service enables businesses to send SMS status updates to customers, provide customer-facing job tracking pages, request Google reviews, and manage job workflows. Features may change over time as we improve the platform.

3. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old and have the legal authority to enter into these terms on behalf of yourself or your business.

4. Free Trial

New accounts receive a 14-day free trial with no credit card required. During the trial you have access to core features. When the trial ends, you must subscribe to a paid plan to continue creating new jobs and sending notifications. Existing customer tracking pages remain accessible after trial expiration.

5. Pricing, Billing & Payment

• Paid plans range from $15 to $149 per month. Annual billing is available at a discounted rate.
• Payments are processed securely through Stripe. By subscribing, you authorize recurring charges to your payment method on each billing cycle.
• Each plan includes a monthly SMS allowance. Messages sent beyond your allowance are billed at $0.03 per message, charged at the end of the billing cycle.
• We may change pricing with 30 days' notice. Price changes apply at your next billing cycle.

6. Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation, you retain access to paid features until the end of your current billing period. No partial refunds are provided for unused time within a billing cycle.

If you cancel during your free trial, no charges are incurred.

7. Your Responsibilities

When using the Service, you agree to:

• Provide accurate customer contact information (phone numbers, email addresses).
• Use SMS notifications only for legitimate business communications related to jobs and services. You must not use the Service to send spam, unsolicited marketing, or messages unrelated to active jobs.
• Comply with all applicable laws, including Canada's Anti-Spam Legislation (CASL), the Telephone Consumer Protection Act (TCPA), and any other relevant telecommunications regulations.
• Not use the Service for any illegal, fraudulent, or harmful activity.
• Not attempt to reverse-engineer, disrupt, or compromise the Service or its infrastructure.

8. Our Responsibilities

• We will use commercially reasonable efforts to maintain Service availability and uptime.
• We implement industry-standard security measures to protect your data and your customers' data.
• We will not sell, rent, or share your data or your customers' data with third parties for marketing purposes. Data is used solely to operate and improve the Service.
• We will provide reasonable notice of material changes to the Service, pricing, or these terms.

9. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of all data you submit to the Service. We process customer data (names, phone numbers, job details) on your behalf to deliver notifications and tracking pages. You are responsible for having appropriate consent from your customers to receive communications through the Service.

10. Intellectual Property

The Service, including its design, code, logos, and documentation, is owned by FixyFlow and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription. Your business data and content remain yours.

11. Account Termination

We reserve the right to suspend or terminate your account, with or without notice, if we reasonably believe you have:

• Violated these Terms of Service.
• Used the Service to send spam or unsolicited messages.
• Engaged in illegal activity through the Service.
• Abused the platform in a way that harms other users or our infrastructure.

Upon termination, your access to the Service ceases. We may retain your data for a reasonable period to comply with legal obligations, after which it will be deleted.

12. Limitation of Liability

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law:

• We do not guarantee uninterrupted, error-free, or secure operation of the Service. SMS delivery depends on third-party carriers and is not guaranteed.
• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
• Our total liability for any claim arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim.
• We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

13. Indemnification

You agree to indemnify and hold harmless FixyFlow and its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any third-party rights, including the rights of your customers.

14. Dispute Resolution

If a dispute arises from these terms or your use of the Service, both parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the courts of the Province of Ontario, Canada.

15. Governing Law

These terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

16. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated via email or a notice within the Service at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised terms.
